Welcome to Adwix Academy (operated by Adwix Media). These Terms of Service (“Terms”) govern your access to and use of the websites, applications, products, services, courses, digital downloads, community features, and other offerings provided by Adwix Academy at https://academy.adwixmedia.com (collectively, the “Service”). By accessing or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • “We”, “us”, “our” means Adwix Academy / Adwix Media.
  • “You”, “user”, “customer”, “member” means any person or entity that accesses or uses the Service.
  • “Content” means text, images, video, audio, curriculum, modules, quizzes, templates, downloadable files (PDFs, spreadsheets), code, and other materials provided on or via the Service.
  • “User Content” means content you post, upload, or submit to the Service (for example, forum posts, comments, profile information, reviews).
  • “Products” means digital goods, templates, downloadable kits, and other one-time purchases.
  • “Programs / Courses” means structured paid or free learning programs, including multi-module courses, lessons, workshops, and cohorts.
  • “Subscription” means any recurring payment plan for access to content or community features.

2. Acceptance of Terms

By using the Service you represent that you are at least 18 years old, or the age of majority in your jurisdiction, and have the legal authority to enter into these Terms. If you use the Service on behalf of an organization, you represent that you have the authority to bind that organization.

3. Changes to Terms or Service

We may modify these Terms at any time. When we make changes, we will update the “Last updated” date and, in some cases, provide additional notice (for example via email or in-service notification). Your continued use after the changes become effective constitutes acceptance of the updated Terms. We may also modify or discontinue (temporarily or permanently) the Service (or parts of it) at any time, with or without notice.

4. Accounts, Registration & Security

  • To access certain features you must create an account. You agree to provide current, complete, and accurate information.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
  • We reserve the right to suspend or terminate accounts that violate these Terms or for security reasons.

5. Payment, Pricing, and Taxes

  • All prices posted on the Site are in the currency indicated and are exclusive or inclusive of taxes as explicitly specified at checkout. For customers in India, GST will be charged where applicable and displayed at checkout. You are responsible for any other taxes, duties, or fees associated with purchases.
  • We use third-party payment processors (for example Razorpay, Stripe, PayPal). Payment card data is not stored on our servers (except as stored by the payment processor). We are not responsible for the processing or storage of your payment details by third parties.
  • For subscriptions: subscriptions automatically renew at the then-current subscription rate unless you cancel before the renewal date. You authorize us (or our payment processor) to charge your selected payment method for all fees and taxes.
  • If we cannot charge your payment method, we may suspend or terminate your access until payment is made.

6. Refunds, Cancellations & Trial Periods

  • Digital Products (one-time purchases): Our default refund policy is [Insert refund days — e.g., 7 days] from date of purchase for eligible digital products, provided you have not downloaded or consumed the majority of the product and the product is not explicitly labeled “no refunds.” We reserve the right to deny refunds in cases of misuse.
  • Courses & Subscriptions: Subscriptions may be cancelled at any time. Cancellations take effect for the following billing cycle; refund eligibility depends on the specific product, and may be pro-rata or none for the current period. For paid courses, refund terms (if any) will be listed on the course/product page.
  • Free Trials: If we offer a free trial period, cancellation during the trial prevents automatic conversion into a paid subscription. If you do not cancel before trial expiry, you will be charged.
  • To request a refund or cancellation, contact support at support@adwixmedia.com with your order details. We may require transaction ID and proof of purchase.
  • We may change refund policies for future purchases, but such changes will not affect purchases already made.

7. Delivery of Digital Products & Access

  • Upon successful payment you will receive access or a download link as specified on the product page. Some access provisioning may be manual and can take up to 48 hours in rare cases.
  • Access to course materials may be time-limited, cohort-based, or lifetime depending on the product description. Always refer to the product page for access details.

8. Intellectual Property & License

  • All Content available through the Service is the intellectual property of Adwix Academy, Adwix Media, or our licensors, and is protected by copyright, trademark, and other laws.
  • Subject to your compliance with these Terms and any additional product/license terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the purchased Content for your personal or internal business use only.
  • You may not:
    • reproduce, distribute, sell, resell, rent, sublicense, or commercially exploit the Content or any portion thereof;
    • modify, adapt, translate, make derivative works of the Content;
    • publicly display, perform, or broadcast the Content (except as expressly allowed);
    • remove any proprietary notices or labels.
  • If you require broader rights (e.g., reseller rights, agency license, white-label), contact us for a commercial license.

9. User Content & Community Rules

  • You retain ownership of User Content you post but grant Adwix Academy a worldwide, royalty-free, perpetual, irrevocable, transferable license to use, reproduce, publish, distribute, and display such User Content in connection with the Service and our marketing.
  • You agree not to post content that: is illegal, infringing, defamatory, obscene, abusive, threatening, discriminatory, or that violates privacy or publicity rights.
  • We reserve the right to remove or modify User Content that violates these Terms or is otherwise objectionable.
  • Users are responsible for the content they post. We do not endorse user-generated content.

10. Prohibited Uses

Your use of the Service must comply with all applicable laws. Prohibited actions include (but are not limited to):

  • Attempting to reverse-engineer, bypass, or interfere with security features of the Service;
  • Using the Service to send spam or unsolicited messages;
  • Scraping, harvesting, or collecting information about other users;
  • Sharing or distributing login credentials or purchased files to third parties;
  • Re-selling, redistributing, or creating derivative paid offerings from our Content without a license;
  • Engaging in conduct that harms or harasses other users.

11. DMCA & Copyright Infringement

  • If you believe your copyrighted work has been used in a way that constitutes infringement, please contact us at support@adwixmedia.com with the following information: identification of the copyrighted work, location of the infringing material, contact info, and a statement made under penalty of perjury that you are the copyright owner or authorized to act on behalf. We will respond as required by law.
  • We may terminate accounts of repeat infringers.

12. Intellectual Property Complaints (Takedown Policy)

We respect intellectual property rights. If you submit a valid takedown notice, we will act in accordance with applicable law. Counter-notification procedures may apply.

13. Representations, Warranties & Disclaimers

  • You represent and warrant that you have the right to provide any User Content and that your use of the Service will not violate any law or third-party right.
  • No guarantee of results. While we provide frameworks, templates, and coaching, we do not guarantee specific business outcomes (e.g., revenue, number of leads, ad performance). Results depend on many factors outside our control. Any examples or testimonials are not guarantees.
  • The Service and Content are provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted access.

14. Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ADWIX ACADEMY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA) ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS (AND YOUR USE OF THE SERVICE) SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. If you did not purchase a paid product in the last 12 months, our maximum liability is [INR 1,000] or the minimum allowed by law.

15. Indemnification

You agree to indemnify and hold harmless Adwix Academy, Adwix Media, and their affiliates, officers, agents, and employees from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of: (a) your breach of these Terms; (b) your User Content; (c) your violation of applicable law; or (d) your use of the Service.

16. Termination & Suspension

  • We may suspend or terminate your access for violation of these Terms or for any conduct we believe is harmful to other users, our business, or third parties.
  • On termination, your license to use purchased Content ends. We may, at our discretion, provide an option to download purchased materials for a limited window before final account deletion.
  • Sections that by their nature survive termination (intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution) will continue to apply.

17. Third-Party Tools & Services

  • The Service may integrate with or link to third-party services (payment processors, email providers, analytics, Meta, Google, AI providers). Your use of these third parties is subject to their terms and privacy policies. We are not responsible for third-party policies, performance, or content.
  • You agree that we may share necessary user data with third parties to provide the Service (e.g., send files, provision access, process payments).

18. Affiliate Links, Offers & Partnerships

  • We may offer third-party affiliate products and tools. If we receive compensation for recommending a product, we will disclose this where required by law.
  • Any offers, trials, or third-party discounts are subject to the third party’s terms.

19. Testimonials & Results

  • We may publish testimonials and case studies. By providing feedback or testimonials, you grant us the right to use that content for marketing purposes. We may alter or edit testimonials for formatting but will not materially change meaning.

Certain course content or community materials may be designated “confidential.” You may not disclose confidential materials outside your organization. If you believe materials are inappropriately labeled or should be shared, please contact us.

23. Export Controls & Sanctions

You represent and warrant that you are not located in a country subject to U.S., EU, UK, or UN embargo, and are not on any denied-party lists. You will not use the Service in violation of export control laws.

24. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of India without regard to conflict of laws principles.
  • Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
  • Before filing a formal claim, the parties agree to attempt informal resolution by providing written notice to the other party and engaging in good-faith discussions for thirty (30) days.

25. Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

26. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in whole or in part without restriction.

28. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and any additional terms posted on specific product pages, constitute the entire agreement between you and Adwix Academy regarding the Service.

  • Cohort-based live programs: refunds are not available after the course start date.
  • Certification: certification is awarded upon meeting module and assessment criteria. Certification is not a guarantee of employment.
